1. Acceptance of Terms
By accessing or using the Cerberus CRM website (cerberuscrm.com) and platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Cerberus CRM.
2. Description of Service
Cerberus CRM provides a marketing automation platform, customer relationship management tools, content generation tools, webinar integration, and related services designed for mortgage professionals. The Service is built on the GoHighLevel platform and may include integrations with third-party tools and services.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to: provide accurate and complete information during registration; maintain the security of your account credentials; accept responsibility for all activities that occur under your account; and notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payment
Access to the Service requires a paid subscription. By subscribing, you agree to pay all fees associated with your selected plan. Subscriptions are billed on a recurring monthly basis unless otherwise stated. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. We reserve the right to change pricing with 30 days' notice. Refunds are handled on a case-by-case basis at our discretion.
5. Acceptable Use
You agree not to: use the Service for any unlawful purpose or in violation of any applicable laws or regulations; send unsolicited communications (spam) through the Service; violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable marketing and communications laws; upload or transmit viruses, malware, or any other harmful code; attempt to gain unauthorized access to the Service or its related systems; interfere with or disrupt the Service; resell, sublicense, or redistribute the Service without written authorization; or use the Service to harass, abuse, or harm others.
6. Compliance With Marketing Laws
You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including but not limited to: TCPA and A2P 10DLC requirements for SMS messaging; CAN-SPAM Act for email marketing; state-specific mortgage advertising regulations; NMLS disclosure requirements; and any applicable fair lending laws. Cerberus CRM provides tools to assist with compliance but does not guarantee compliance on your behalf. You are responsible for the content of your communications.
7. AI-Generated Content
The Service includes AI-powered content generation tools. Content generated by AI is provided as a starting point and suggestion only. You are solely responsible for reviewing, editing, and approving all AI-generated content before use. Cerberus CRM makes no guarantees about the accuracy, compliance, or suitability of AI-generated content. You should not publish or distribute AI-generated content without first reviewing it for accuracy and compliance with applicable laws and regulations.
8. Intellectual Property
The Service, including its design, features, code, and content (excluding your user content), is owned by Cerberus CRM and is protected by intellectual property laws. You retain ownership of content you create using the Service. By using the Service, you grant us a limited license to store, process, and display your content as necessary to provide the Service.
9. Third-Party Services
The Service integrates with third-party platforms including but not limited to GoHighLevel, Facebook, Google, WebinarKit, and various AI providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law, Cerberus CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Indemnification
You agree to indemnify and hold harmless Cerberus CRM, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any applicable laws or regulations; or your content or communications sent through the Service.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination by contacting support@cerberuscrm.com.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New Jersey.
15. Changes to These Terms
We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
